英文契約書とは、どんな感じのものでしょうか。
シンプルな形式のものや伝統的な形式のものなど、いろいろですが、次のような契約書をよく見ます。
Sales Agreement
This Agreement (hereinafter called the “Agreement”) is entered into as of November 14, 2022 by and between Aurora Manufacturing Company, Ltd., a corporation existing under the laws of Japan and having its principal office at 4-1 Kitashinmachi, Chuo-ku, Osaka, Japan (hereinafter called the “Seller”) and America Trading Company, a corporation existing under the laws of the State of California, the United States of America and having its principal office at XXXXX, California, the US (hereinafter called the “Buyer”) as follows with regard to the sale and purchase of the products manufactured by Aurora that are fully specified hereinafter.
Article 1 (Definitions)
In this Agreement, the following terms shall have the following meanings.
(1) “Product” means …
(2) “Affiliated Company” means …

それでは、日本語の契約書を見てみましょう。
売買契約書
株式会社オーロラ製作（以下、「甲」という）と大阪商社株式会社（以下、「乙」という）は、以下の通り契約を締結する。
第1条（契約の内容）
甲は乙に対し、甲が製造する製品XXXXXを売り渡し、乙はこれを買い受ける。
第2条（売買代金と数量）
上記製品の単価はXXXXX円、発注数量はXXX個とする。
第3条・・・・・第10条くらいで終わり
どちらの契約書も、もちろん形式の一例にすぎませんが、どちらもよくあるパターンです。
この英文契約書を日本語契約書と見比べてまず目につくのは、Article 1（第1条）が始まるまでの文章が、日本語版ではさらっと短い文章なのに対し、英語版はやたら長いということです。この例では短めの文章にしていますが、もっと長い場合もよくあります。
次に、英語版のArticle 1（第1条）は、Definition（定義）という、契約の詳細と直接関係なさそうな内容です。
さらに、第3条以降はここでは省略しているため目には見えませんが、10条くらいであっさり終わる日本語版に比べ、英語版は20条で終われば短い方であり、各条項の文章量も多く、全体的に長い契約書になります。
このように、英文契約書には、
・タイトルと第1条の間に長い文章部分がある
・第1条は用語の定義
・全体的に長い
という、外見上の特徴があります。
